Japan Energy Challenge 2020 Venture Competition Terms and Condition

  1. The Introduction
    1. The promoter is: SMAP Energy Limited at https://japanenergychallenge.com
    2. This terms and conditions (the “Terms”) apply to Japan Energy Challenge 2020 Venture Competition (the “Competition”) operated by the Promoter.
    3. The Terms shall be legally binding on you when you enter and/or participate in the Competition.
    4. By submitting an entry to the Competition you are agreeing to the Terms and you warrant that you have legal capacity to enter into and agree to be bound by the Terms.
  2. The competition
    1. To enter you must be an incorporated business operating in the energy sector.  Approximately twenty entrants will be selected to participate in discussions with the consortium of sponsors of the prize and given the opportunity to promote their product offerings for the Japanese energy sector. Each of those entrants will have the opportunity to attend an event in December 2020 in Tokyo, Japan.
    2. Approximately two – or other such number as determined by the Promoter in its sole discretion – of those entrants will be named as winners and awarded a prize that includes:
      1. Access to supporting services to facilitate the development of pilot projects;
      2. Connections to relevant suppliers, consultants, technical experts, etc. and ongoing support to promote the product offerings to market in Japan;
      3. Media coverage for both European and Japanese audiences.
  3. How to enter
    1. The competition will run from 1 April 2020 (the “Opening Date“) to 1 August 2020 (the “Closing Date“) inclusive.
    2. All competition entries must be received by the Promoter at the address set out at condition 3.1 by no later than 23.59 on the Closing Date. Competition entries received after the Closing Date may be rejected by the Promoter. 
    3. To enter the competition, submit the online entry form provided at https://japanenergychallenge.com/2020-program/ by the Closing Date (or otherwise provide such information as the Promoter at its discretion specifies).
    4. By submitting a Competition entry, you may be requested to confirm such agreement in writing as a condition to participation in the Competition.
    5. Approximately twenty entrants will be selected by a panel set up by the Japan Energy Challenge team (‘JEC Team’) for participation in the Tokyo event in December. From those entrants, two (or such number as the Promoter determines in its discretion) entrants will be selected as winners to receive a package of services detailed in 2.3. The selection decision of the JEC Team for both stages will be final.
  4. Participation 
    1. By submitting a competition entry, you agree that:
      1. if you are one of the twenty selected entrants you will work with the JEC Team to collect and prepare materials for dissemination to the sponsors in advance of the event in December and you will make available a representative of appropriate seniority to attend the December event at your cost and support your product offerings[1];
      2. you grant a non-exclusive licence to the Promoter to use all your logos and the materials submitted and developed in the course of the program (the “Materials”) and any images/photos taken by the Promoter over the course of the program (the “Images”), including any intellectual property rights that may subsist in the Materials and the Images for the purposes of the administration and promotion of the relevant Competition operated by the Promoter.
      3. you agree to indemnify the Promoter against any third party claims arising from the submission of your entry and the Materials (which means you will be responsible for any losses or damage that Promoter suffers as a result of any such third party claims).
    2. As one of the twenty selected entrants, you will have the non-exclusive right to use the Japan Energy Challenge logos solely in connection with your participation in the program and provided that you do not damage the reputation of the Japan Energy Challenge, the Promoter or any sponsor as a result of such use.
  5. Regulatory responsibilities
    1. Each entrant will be responsible for ensuring that any persons travelling to Japan as part of the competition hold valid passports and any necessary visas and travel documents for the travel dates.
  6. Confidentiality
    1. Each entrant undertakes that it shall not at any time disclose to any person any information of a confidential nature coming to its attention as a result of the competition (whether relating to any of the sponsors or otherwise), except to its representatives who need to know this information for the purposes of this competition (and for whom the entrant remains responsible at all times).
    2. The Promoter undertakes to take all reasonable steps to ensure that any information of a confidential nature provided to it by an entrant is kept confidential and is only disclosed to such persons as are necessary for the purposes of this competition or as required by law or regulation.
    3. Each party reserves all rights in its confidential information. No rights or obligations in respect of confidential information other than those stated in clause 4 are granted or to be implied from these terms. 
  7. Limitation of liability
    1. Insofar as is permitted by law,  the sponsors, the JEC Team, the Promoter, its agents or distributors (together ‘the Team’) will not in any circumstances be responsible or liable to compensate the winners or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the prize except where it is caused by the negligence of any of those persons, their agents or distributors or that of their employees. Your statutory rights are not affected.   No member of the Team will be responsible in any event for any costs incurred by you in relation to the Japan Energy Challenge 2020 Venture Competition.
  8. Data protection 
    1. The Promoter will only process your personal information as set out in the https://japanenergychallenge.com/privacy-policy/.
  9. General
    1. If there is any reason to believe that there has been a breach of these terms and conditions, the Promoter may, at its sole discretion, reserve the right to exclude you from participating in the competition.
    2. The Promoter reserves the right to hold void, suspend, cancel, or amend the prize competition where for reasons outside the Promoter’s control it becomes necessary to do so.  If the Promoter exercises its right under this clause then it shall not be liable for any costs etc incurred by you as a result.
    3. These terms and conditions shall be governed by English law, and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales.

[1]  The sponsors are potential clients for the successful entrants and their representatives will be at executive level.  Accordingly, the representative will typically be in a business development manager role or higher. S/he must be approved by the Promoter in advance and attendance is conditional upon such approval.  If the approved representative is unable to attend the event, the Promoter must be notified immediately, and a suitable substitute provided. Failure to do so may result in the invitation to attend being revoked with no obligation for the Promoter to reimburse any costs incurred by the entrant.
